She focuses her practice on assisting public and private companies and individuals with matters related to representations and warranties insurance and other transactional insurance products. Ms. Brown has represented US and foreign clients in a range of transactional matters, among them acquisitions and dispositions (including mergers, stock and asset transactions and divestitures), cross-border acquisitions, venture capital investments, general corporate and securities matters and public and private securities offerings. Ms. Brown has also assisted clients in the preparation and filing of 1933 Act and 1934 Act documents and proxy materials with the United States Securities and Exchange Commission and related compliance. Ms. Brown began her career at the New York office of an international law firm, where she was a member of the mergers and acquisitions practice group and worked with Fortune 500 companies and other top-tier issuers and acquirers.
